Terms and Conditions for Trade Bid Limited

By utilising the Trade Bid website you agree to the following terms and conditions of use. 

Definitions 

  • “Company”, ”Trade Bid” (“us”, “we”, “our” and “ours”) shall mean Trade Bid limited, registered in England No. 11719876 . 
  • “Customers” means any person or company that registers on the site and posts “Pricing Requests” 
  • “Pricing Requests” means a specification for building material submitted by a customer using the Trade Bid web site that enables Merchants to quote for. 
  • “Pricing Proposal” means the response from the merchant detailing costs for the required materials and any delivery services available. 
  • “Merchants” mean registered suppliers of building materials that wish to be able to quote on “Pricing Requests”. 
  • “Service” means any process or service that is provided by Trade Bid to Customers or Merchants which includes, but is not limited to: information, services and products provided through the Website, or by telephone or email. 
  • “Website” means the website www.tradebidit.com and all the subsequent pages, content contained therein. 
  • “Closed Request”, is a Pricing Request where the customer chooses to share their contact details with a Merchant. 
  • “Provision Agreement”, means any agreement reached between a customer and a Merchant on the materials to be provided. A provision agreement can be reached by a verbal exchange, via telephone, via SMS, via an email or in the form of a written statement or contract. 

Governing Law & Jurisdiction 

This agreement shall operate in accordance with the laws of England and Wales, and both parties submit to the jurisdiction of the English courts. Disputes arising in connection with these Terms and Conditions shall be subject to the sole jurisdiction of the English courts. If it is deemed that any part of these provisions are held to be illegal or unenforceable such provisions shall be severed and the remainder of this Agreement shall remain in full force. 

Overview 

Trade Bid provides an online web service that enables customers to place a list of building materials they require. This is then circulated to registered merchants that meet the product category.  Merchants then provide pricing proposals in an open forum.  Once the Customer selects a pricing proposal then their associated contact details are released to both the customer and the chosen merchant. 

Use of Service 

You agree to use the website only for lawful purposes and to use the site in a way that does not cause issue to others, effects the sites ability to provide its prime function or to cause to impede other customers use of the service. Pricing requests and pricing proposals must be made in a professional tasteful way that does not cause upset, distress or offence to any other users. Failure to act accordingly may lead to content being removed from the site and your account being suspended.  

You understand that all pricing requests/proposals and messages placed upon the Trade Bid website, are the sole responsibility of the person from whom such content originated. You are entirely responsible for all content that you post, email or otherwise make available via the Service. 

Data and Information 

Trade Bid will endeavour to ensure that all information held on its web site and databases are accurate and up to date. However, Trade Bid cannot guarantee the accuracy of the information held, and are not liable for any problems or losses arising from errors in the content stored. 

In using the Services provided by Trade Bid, you acknowledge that Trade Bid is not acting as a contractor or agent and is not responsible for the provisions of any of the materials provided. It is the responsibility of Trade Bid purely to enable customers to seek pricing requests. It is the responsibility of the Customer to select a suitable merchant and to negotiate the terms for the provision and delivery for required materials. 

You agree that Trade Bid has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Website.  

You also acknowledge that Trade Bid reserves the right to amend or delete contents on the website.  Trade Bid shall not be liable to you or to any third party for any modification, suspension or discontinuance of any services. 

Responsibilities of Customers and Merchants 

Your interactions with customers and merchants found on the Trade Bid website, including accuracy of pricing requests/ proposals, pricing information, delivery information and associated costs, suitability of the product to meet customers requirements, any product warranties/guarantees are strictly between you and the customer/merchant. 

You agree that Trade Bid shall not be responsible or liable for any loss or damage of any sort incurred as the result of using the Trade Bid website to establish a trading arrangement between yourself and the customer/merchant.  Trade Bid will not become involved in any dispute between yourselves and the customer/merchant. 

The pricing responses given by the merchants are not backed, supported, endorsed or guaranteed by Trade Bid Ltd.  Trade Bid is solely an introductory service where we match customer’s requirements with potential merchants. The decision to procure from a merchant is purely the responsibility of the customer. 

Trade Bid will not be involved in the provision of any materials, that will be strictly between the customer and the chosen merchant. Trade Bid does not endorse, recommend or warrant the services, products or materials provided by any of its registered merchants. 

In utilising the service you acknowledge and agree that the trading relationship is between the customer and the merchant. You agree to release Trade Bid its Offices and staff from claims, demands or damages arising from any dispute between yourself and the customer/merchant. 

Customers/merchants will have the ability to leave feedback and comments regarding the service received from the merchant. Merchants and customers understand that they are entirely responsible for its content, its accuracy and legality. 

All users understand that the use of foul/offensive language, comments that maybe libellous, or feedback that may cause harm or upset will not be tolerated.  These posts will be removed and Trade Bid reserve the right to suspend or report the holders of these accounts to the necessary authorities. 

Merchants that enable themselves to be identified by means of information requests exchanged on the website with the customer/builder will accept that they will be charged based upon winning bid, regardless of whether the builder selects their offer.  Identifying information may be phone numbers, address details, unique product codes, names, nick names or initials.  The information request function is purely to clarify details regarding the materials required by the builder.  Any attempt to contact the customer or enable the customer to identify them will be charged.  The charge amount will be equivalent to the lowest bid placed for that pricing request.  Merchants repeatedly revealing their identification will be suspended from using the service. 

Our liability 

The material displayed on our site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we, and third parties connected to us hereby expressly exclude: 

  • All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity. 
  • Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it, including, without limitation any liability for: 
  • loss of income or revenue; 
  • loss of business; 
  • loss of profits or contracts; 
  • loss of anticipated savings; 
  • loss of data; 
  • loss of goodwill; 
  • wasted management or office time; and 

for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above. 

This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only.  We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.  When accessing a site via our website we advise you check their terms of use and privacy policies to ensure compliance and determine how they may use your information.   

Assignment 

Trade Bid reserves the right to assign all or part of its responsibilities to a third party at any time without prior notification to either the Customers or Merchants. 

Intellectual Property 

Trade Bid owns all the intellectual property rights relating to the www.tradebidit.com This includes all text, graphics, database and layouts. Use of any content is not permitted without prior written consent from Trade Bid Limited. 

The intellectual property rights on pricing/ proposal, product descriptions and messages, that users upload to Trade Bid are retained by the copyright owner, and these are added to the site by Users at their own risk. In placing information upon the site, you are giving Trade Bid limited the permission to store, use and display such content on the website. 

Payment Terms 

Closed Request Fees. 

When a customer closes a Pricing Request then the contact details of both parties are exchanged.  At this point the merchant is liable for a commission fee of 4% + VAT of the total pricing proposal including delivery that was accepted by the customer. 

Please note that commission charges in our bills will be calculated using data recorded by us and not from any data you may record yourself. 

 
We will bill you on a monthly basis with any subscription charges invoiced monthly in advance. 

Trade Bid reserves the right to amend these fees on a case by case basis.   

You agree to settle all invoices with 14 days of receiving them. All accounts will be settled using Direct Debit. Invoices will be emailed to the email address you have given to us. It is your responsibility to ensure that this email address is working correctly. 

Disputes regarding invoices need to be emailed to info@tradebidit.com 

Termination of service 

Trade Bid, at its sole discretion, has the right to deactivate your account, immediately and without notice, for any reason, including, without limitation, if Trade Bid believes that you have acted inconsistently with the letter or spirit of these terms of conditions. 

Trade Bid reserves the right to change or update these terms and conditions from time to time. 

Merchants may cancel the service given 30 days prior written notice.
